Ashley Furniture Industries Inc. is exploring a sale that could value the big Wisconsin furniture maker at more than $3 billion. The family-owned company is working with investment bank Goldman Sachs Group Inc.% on the process, which is in an early stage, according to people familiar with the matter. It is possible it won’t lead to a sale of the company. A number of big private-equity firms are weighing a buyout of Ashley, some of the people said. Ashley, founded in 1970, is one of the largest furniture manufacturers in the world. The company, known for its affordable wares, designs and builds beds, sofas and living-room sets that are sold through more than 560 of its stores as well as those of other retailers.

Based in Arcadia, Wis., it had about $4 billion in sales last year, nearly twice as much as rivals La-Z-Boy Inc. and Ethan Allen Interiors Inc.%It employs about 13,000 people. The company could fetch more than $4 billion including debt, one of the people said. A takeover of the company could be one of the largest recent private-equity deals. Such activity has been muted as corporate acquirers take center stage in the recent mergers-and-acquisitions boom. It would also be one of the most high-profile furniture-company sales since private-equity firm Bain Capital LLC bought a majority stake in Bob’s Discount Furniture last year for an undisclosed amount. Ashley has thrived by churning out low-price furniture, including sofas for as little as $399, at factories in the U.S. and Asia. The company’s septuagenarian founder, Ron Wanek, is the son of a dairy farmer and one of the U.S.’s lowest-profile billionaires, despite sometimes wearing orange neckties that match the company’s logo, the Journal reported in March.

Earlier this year, the Waneks said in an interview with The Wall Street Journal that their family controlled the company but the family of Chuck Vogel owned 14%. Mr. Vogel is a board member of Ashley and former executive who was Ron Wanek’s first hire when the company was created. Mr. Vogel declined to comment on the potential sale of Ashley. “This is an opportune time” to consider selling U.S. furniture companies, said Jerry Epperson, a partner at Mann, Armistead & Epperson Ltd., an investment bank in Richmond, Va., that specializes in the home-furnishings industry. “We’ve got a lot of people who are interested in [the furniture] business,” said Mr. Epperson, who isn’t involved in the Ashley sales process. Driving that interest, he said, are the recovery of the housing market and a belief that millennials will soon become big buyers of furniture as they settle down and purchase homes. The company’s goal is to boost its revenue by 7% to 10% every year, Ron Wanek’s son, Todd Wanek, Ashley’s chief executive, said in an interview earlier this year.
